O’Neal Webster acted as British Virgin Islands counsel to Fredonia Management Limited (Fredonia Management) in its three-cornered statutory merger with Fredonia Mining Corp., a BVI incorporated subsidiary of Fredonia Mining Inc. (formerly Richmond Road Capital Corp), under BVI law in a Qualifying Transaction in accordance with Toronto Venture Exchange guidelines. As a result of the three-cornered merger, Fredonia Management shareholders are now shareholders of the listed entity, Fredonia Mining Inc., of which Fredonia Management is now a wholly-owned subsidiary.

A customised FinTech course is being launched in the BVI to help boost the skills of professionals in the area of FinTech. This customised FinTech course is in collaboration with Financial Services Institute (FSI) at the H. Lavity Stoutt Community College, BVI Finance, the National University of Singapore (NUS), School of Computing. The course is created by National University of Singapore, School of Computing, Strategic Technology Management Institute who partnered with the NUS FinTech Lab.

ECONOMIC SUBSTANCE FOR THE BRITISH VIRGIN ISLANDS

The Economic Substance (Companies and Limited Partnerships) Act, 2018 (the Act) came into force on 1 January 2019 (with certain retroactive revisions being made shortly thereafter) and applies to all companies and limited partnerships registered in the British Virgin Islands (or foreign companies and limited partnerships doing business in the territory), other than British Virgin Islands registered companies or limited partnerships that are "non-resident" in the British Virgin Islands. The Act applies to existing entities and new entities incorporated or formed from 1 January 2019.
